Terms of sale and licence

These terms apply when your organisation buys Atrium templates or web parts from Cloudly Move Limited. Last updated 7 November 2026.

1. Who can buy

Atrium is sold to businesses and other organisations, not to consumers. By placing an order you confirm you are buying for your organisation and have authority to accept these terms on its behalf.

2. Your order and price

Prices are shown on the website in pounds sterling and exclude VAT, which is added at the current UK rate. Your order is accepted when we email you an invoice. We may decline an order, for example if we cannot verify the buyer, and nothing is charged if we do.

3. Payment

Pay the invoice by bank transfer, quoting the invoice number as the reference, within the payment terms shown on it. If your organisation pays by purchase order, add the purchase order number when you order and it will appear on the invoice. We do not deliver until payment has reached our account.

4. Delivery

We email a download link within 2 working hours of your payment reaching our account. Working hours are 9am to 5pm UK time, Monday to Friday, excluding UK bank holidays. The link is valid for 14 days; ask and we will send a new one at any time.

5. Your licence

• We grant your organisation a perpetual, non-exclusive, non-transferable licence to install and use the items you bought in one Microsoft 365 tenant, on as many sites and for as many users as you like.
• You may change the page layouts, text, images and settings, and copy pages within your tenant.
• You may not resell, sublicense, publish or share the packages or their code, install them in another tenant, or use them to build a competing product.
• Your IT partner or consultant may install and configure Atrium for you, in your tenant only.
• Need more than one tenant? Each tenant needs its own licence; write to us for a multi-tenant price.

6. Ownership

Atrium, its code, designs and documentation remain the property of Cloudly Move. Photographs included as starter artwork are licensed from their owners for use within your intranet. Your content, lists and data in SharePoint belong to you; Atrium does not send any of it to us.

7. Updates

Your licence includes bug-fix and compatibility updates to the version you bought (for example 1.x) for 12 months from purchase, delivered as a new package by email. New templates and web parts released later are sold separately.

8. Support

Email support is included for 12 months from purchase, in UK working hours, for installing and using Atrium as described in the setup guide. Branding, custom development and hands-on set-up are available as paid consultancy.

9. If something does not work

Atrium is built for SharePoint Online in Microsoft 365. If an item you bought does not work as described when installed as the setup guide explains, tell us within 30 days of delivery. We will fix it or, if we cannot within a reasonable time, refund what you paid for that item. Because the packages are digital and delivered immediately, we do not otherwise give refunds once a download link has been sent.

10. Liability

Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. Otherwise, our total liability under or in connection with an order is limited to the amount paid for that order, and we are not liable for loss of profit, revenue, data or goodwill, or for indirect or consequential loss. You are responsible for testing Atrium before using it widely and for backing up your SharePoint content.

11. Microsoft

Atrium runs on Microsoft 365, which you license separately from Microsoft. We are not responsible for changes Microsoft makes to SharePoint, but we will make reasonable efforts to keep Atrium working through updates covered by section 7.

12. General

These terms, your order and the invoice are the whole agreement for the purchase. If any part is found unenforceable, the rest still applies. We may update these terms for future orders; the terms in force when you ordered apply to that order. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
